MS3IT Master Services Agreement

This proposal constitutes Statement of Work No. 1 (SOW No. 1) under the MS3IT MSA between K.S.R.L. LLC d/b/a MS3 IT Solutions and Shore Brake Metal. The full MSA will be delivered separately for review and execution.

§2 — Payment
  • Full payment due upon signing. Work begins same day.
  • Invoices payable within 30 days of receipt (§2.1).
  • Late payments past 10-day grace period: $25 fee or 5% interest (§2.3).
  • MS3IT may suspend services on accounts with overdue balances (§2.4).
§3 — Term & Termination
  • Initial term: 1 year, auto-renewing annually. 30-day written cancellation before renewal.
  • SOW term: 1 year, auto-renewing unless 90-day written cancellation provided.
  • Either party may terminate for material breach with 30-day cure period.
  • No refund of fees paid for services rendered through termination date (§3.4).
§4 & §5 — IP & Confidentiality
  • MS3IT retains all IP rights in workflows, automation systems, and AI agents built.
  • Client retains ownership of all materials provided to MS3IT.
  • Both parties hold each other's Confidential Information in strict confidence.
  • Client may not reverse engineer or create competing software from MS3IT systems.
§7 & §9 — Liability & Misc
  • Liability cap: aggregate fees paid in the 3 months prior to any claim (§7.3).
  • Governing law: State of North Carolina (§9.7).
  • Disputes: AAA arbitration in Raleigh, NC. Jury trial and class action waived.
